Cygnal Rewards Terms and Conditions

Welcome to Cygnal Rewards, the travel and lifestyle platform powered by Cygnal Travel & Tours Co. and Cygnal Visa & Consultancy Centre Co. Ltd. These Terms and Conditions ("Terms") govern your use of the Cygnal Rewards mobile app ("App"). By accessing or using the App, you agree to be bound by these Terms. Please read them carefully before using our app or booking any services and to understand your rights and obligations.

1. Eligibility:

• You must be at least 18 years of age to use the App.
• You must have the legal capacity to enter into a contract.
• By using the App, you represent and warrant that you agree to comply with all applicable laws and regulations. 

2. Account Creation:

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must provide accurate and complete information when creating your account.
• You are responsible for updating your account information as necessary. 
• You are responsible for maintaining the confidentiality of the information and password associated with your Cygnal Rewards App Account, and for all activities occurring under your Cygnal Rewards Account including all charges incurred. Cygnal Rewards shall be entitled to consider any person who gains access to the Platform and Services using your Account log-in details as an individual acting upon your authorization, without any further inquiry or investigation. Where applicable, references to your use and/or access of the Platform and Services shall be deemed to include the use and/or access of the Platform and Services by an individual authorized by you. Notwithstanding this, Cygnal Rewards shall be entitled at our own discretion to decline to act or refrain from acting promptly upon any instructions from your Cygnal Rewards App Account and to investigate or verify the authenticity, the authority or the identity of such persons effecting the instructions or the authenticity, accuracy and completeness of the instruction. You must immediately notify us of any unauthorized use of your Cygnal Rewards App Account, password or any other breach of security.

3. Use of the App:

• You agree to use the App only for lawful purposes.
• You agree not to use the App in a way that violates these Terms or any applicable laws or regulations.
• You agree not to attempt to gain unauthorized access to the App or its systems.
• You agree not to use the App to transmit any harmful content, including viruses, malware, or other destructive code.
• You agree not to interfere with the App's functionality or use it in a way that disrupts other users.
• You agree not to use the App to engage in any illegal, fraudulent, or abusive activities.
• You agree not to make false, fraudulent or speculative bookings on our Platform;
• You agree not to pass off or attempt to pass off our Platform as the product of anyone other than Cygnal Rewards, including by removing, altering or replacing any notices of authorship, trademarks, business names, logos or other designations of origin;
• You agree not to disassemble, reverse engineer, decompile or modify any software or application contained in or available on our Platform in whole or in part, or otherwise attempt to obtain or access the source code of our Platform or interfere with or disrupt our Platform, or servers or networks connected to our Platform;
• You agree not to violate the security of any network, including cracking passwords or encryption codes, transferring or storing any illegal material, or otherwise obtaining the password, account or private information from any other User of our Platform;
• You agree not to obtain or attempt to obtain unauthorised access, via whatever means, to any of the Cygnal Reward’s systems;
• You agree not to 'frame’, ‘mirror’ or otherwise incorporate any part of the Platform into any other website or deep-link to any portion of the Platform (including, without limitation, purchase paths) for any purpose without our express prior written permission;
• The Cygnal Rewards holds all rights to the app, granting users only a limited, non-exclusive, revocable license to use it. Users are forbidden from violating copyright, trademark, or trade secret laws. Violations of these provisions would result in immediate termination of access to the App. 
• Hyperlinks on this Platform to websites operated by third parties are only provided for your reference. These are usually in the form of promos and/or deals from partner-merchants. If you click on a third party hyperlink or advertisement, please be aware that you would be leaving our Platform and any data you provide will be processed in accordance with said third party’s respective privacy and cookie policies, which we advise you consult beforehand. Cygnal Rewards will not be responsible or liable for the consequences of accessing these websites, including exposure to hard and software viruses, spy and malware. 
• Cygnal Travel reserves the right to suspend the account for any suspicious illegal/money-laundering activity. 

4. Travel Services:

• Cygnal Rewards offers a variety of travel services through the App, including flights, hotels, tours, visa assistance, immigration services, travel insurance, and more.
• You are responsible for ensuring that you meet all requirements for the travel services you book.
• Cygnal Rewards acts as your all-in-on travel service provider. Any and all packages and services in the app shall be guaranteed by Cygnal Rewards.
• Nonetheless, you agree that you are responsible for reviewing the terms and conditions of the travel service you choose before booking.
• Cygnal Rewards operates a platform that empowers you to search for all your travel needs/essentials and discover, search, book and pay for various products and services all in one application which may include, without limitation to the following:

a. lodging and temporary accommodation, including but not necessarily limited to hotels, hostels, serviced apartments, bed-and-breakfasts, rooms for rent, cottages and ryokans ("Accommodations");
b. air and air-related transport services ("Flights");
c. activities and other experiences ("Activities");
d. rental cars; and
e. any combination of the above ("Combination"),(each a "Travel Product"), through a convenient portal, the facilitation of which is individually and collectively known as our "Services". You may access our Services through our  mobile application ("App"), collectively known as our "Platform" or “App”.

• In some cases, we work with our affiliates and other third-party partners ("Partners") to facilitate the listing and reservation of certain Travel Products. For example, certain online reservations for Travel Products on our Platform are facilitated by our Partners. Where this is the case, the Partner's terms and conditions of use and/or privacy policy will govern the relationship between you and our Partner for the booking of the relevant Travel Product(s), instead of Section B of these Terms. We may be paid a fee or commission by a Partner or Partners if you make a booking for such Travel Product(s).
• When we use "you", "your" or "User", we refer to anyone who accesses or uses our Platform and Services.
• Any changes, cancellations and refunds will be dependent on the travel service you have acquired, and the rules/conditions set by Cygnal Rewards for the same, which is readily available before finalization of the Booking. By using the app, you agree that you must review all terms and conditions before booking. Please be advised that certain reservations may be non-refundable, non-cancellable, and/or non-changeable.
• In case a third-party travel partner is involved in the booking, Cygnal Rewards will assist the client with the Travel Suppliers/Third-Party Provider in cases of changes, cancellations and refunds, which again, are subject to terms and conditions of the travel packages readily available before finalization of the Booking.
• If you have any questions, comments, complaints or claims with respect to our Platform or these Terms, you may contact Customer Service. 

5. Rewards and Points:

• Cygnal Rewards offers a rewards program that allows you to earn points and cashback on travel services.
• The number of points you earn depends on the type of service booked and the membership plan you have.
• Reward points can be used as payment funds for travel services available in the App.
• Classic users cannot transfer Reward Points to their Virtual Wallet Account and can only be used as payment funds for the travel services available in the App.
• Platinum users can transfer Reward Points to their Virtual Wallet Account that can be withdrawn to their linked bank account.
• Reward points can be used as funds to pay partner merchants.
• Platinum account users can transfer their reward points to either Classic User Accounts or another Platinum User Account.
• Reward points do not expire as long as the user is a member (whether classic or platinum). However, when a platinum member no longer renews his/her platinum membership, the reward points and its use shall be limited to the use for classic members. 
• You are responsible for maintaining the confidentiality of your reward points and for all activities related to them.
• Cygnal rewards are revocable if the user violate/s any term and conditions for the use of the app or in cases of fraud or abuse of the application system, in which case, Cygnal Rewards shall inform the User via email. Any violation and/or revocation of rewards may be appealed through replying to the same email or emailing us at support@cygnalrewards.com within three (3) days from notice of violation, account termination or rewards revocation. 
• Cygnal Rewards reserves the right to modify the rewards program at any time. Any conversion or use of the reward points before any changes shall not be affected.

6. Membership Plans:

• Cygnal Rewards offers different membership plans, including Classic & Platinum
• Each membership plan comes with different benefits and perks, as stated in the information section per membership plan.
• The membership plan you choose determines your eligibility for certain rewards and discounts.
• Cygnal Rewards reserves the right to modify the membership plans at any time.

7. Virtual E-Wallet:

• Cygnal Rewards offers a Virtual Wallet feature that allows you to store and manage your funds.
• For Classic accounts, you can fund your Virtual Wallet using debit cards, e-wallets, bank transfers. 
• For Platinum accounts, you can fund your Virtual E-Wallet using debit cards, bank transfers or reward points.
• Both Classic Account users and Platinum Account users can earn reward points depending on the service/s they will avail in the App
• You can withdraw funds from the Virtual Wallet to your linked bank account.
• You are responsible for maintaining the confidentiality of your Virtual Wallet and for all activities related to it.
• Cygnal Rewards reserves the right to freeze or suspend your Virtual Wallet at any time for violation of the terms and conditions of the use of the app or if there is suspicion of illegal activity connected with the account. In all cases, Cygnal Rewards will inform the user through their email of the reason for the freezing or suspension of the Virtual Wallet. A user can file an dispute or file an appeal to re-activate his account or virtual wallet within five (5) days from notice of freezing or suspension. 
• The Virtual Wallet is just a repository of the funds of user and is not a deposit. Hence, funds in the virtual wallet are non-interest bearing. 

8. Payment:

• You agree to pay for all travel services you book through the App.
• You agree to provide accurate and complete payment information.
• You agree to comply with the payment terms and conditions of the travel service providers.
• All payments for booking of travel services/packages, any rebooking, any additional service/s requested through customer services shall be paid and coursed through the app or any Cygnal Corporate Accounts only. 
• In connection with facilitating your booking, the charge to your Payment Instrument may include an amount for charges, taxes and fees (“Taxes and Fees”) unless indicated otherwise, which may include bank and credit card fees and charges where this is available or known to us. Such bank and credit card fees and charges, where it is applicable to you, may alternatively be displayed as ‘Processing cost’ in the booking form. 
• For refund or cancellations, you agree that the credit card fee will not be credited back to the e-Wallet. In these cases, only the travel service amount shall be credited. 
• For failed transactions as a result of glitches in the system, Cygnal Rewards shall refund the whole amount debited to the account or card (whether virtual wallet, debit or credit card) of the User. 
• For failed transactions as a result of User’s internet provider or any other reason not caused by the application’s system or any negligence on the part of Cygnal Rewards, the User shall submit all necessary proof/documents to prove the debiting of his account or card and non – availment of any service. In this case, the Cygnal Rewards team will investigate the account and when a failed transaction was proven and the amount was debited in the User’s account, Cygnal Rewards shall refund the amount involved. Credit card fees for failed transactions not due to system glitch or to Cygnal Reward’s actions or negligence shall not be refunded.

9. Privacy:

• Your personal information is protected by Cygnal Rewards' Privacy Policy.
• By using the App, you agree to the terms of the Privacy Policy. NOTE: Insert hyperlink nung specific reference ng Privacy Policy version that was mentioned.

10. Disclaimer:

• The App is provided "as is" without warranties of any kind.
• Cygnal Travel and Cygnal Visa disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Cygnal Travel and Cygnal Visa does not warrant that the App will be uninterrupted or error-free, that defects will be corrected, or that the App is free of viruses or other harmful components.
• Cygnal Travel and Cygnal Visa does not warrant that the App will meet your specific requirements or that the App will be compatible with your device.
• No failure or delay to exercise Cygnal Reward’s rights under these Terms shall operate as a waiver thereof nor shall such failure or delay affect the right to enforce Cygnal Reward’s rights under these Terms.

11. Limitation of Liability:

• To the maximum extent permitted by law, Cygnal Travel and Cygnal Visa shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the App.
• Cygnal Travel and Cygnal Visa shall not be liable for any damages arising from any delay, interruption, failure, or malfunction of the App, or for any loss or damage to your data or device.
• Cygnal Travel and Cygnal Visa shall not be liable for any damages arising from any third-party content or services accessed through the App.
• We are also not liable for any costs associated with your network provider, who may charge you for accessing their connection services to access and use our Platform. We are not responsible for the availability and quality of your telecommunication reception when accessing or using our Platform or Services.
• If we are found liable for any loss or damage that arises out of or is in any way connected with your use of our Platform or Services, or your booking or use of products or services made available through our Platform, then the liabilities of Cygnal Rewards in the aggregate will not exceed the lower of (a) the aggregate cost of your purchased Travel Product as set out in the confirmation (whether for one event or a series of connected events); or (b) USD 250 (or its equivalent in local currency) whichever is lower. Claims should be submitted as soon as possible after occurrence of the event giving rise to the claim. Claims submitted with undue delay may be considered void pursuant to the applicable statute of limitations. 
• You agree that the above limitations of liability reflect the allocation of risk between you and Cygnal Rewards and that, in the event that any of the remedies set out in these Terms are in breach of applicable law, these limitations of liability will survive.
• We shall have no liability to you for any breach of these Terms caused by any event or circumstance beyond our and/or the Covered Parties’ control including, but not limited to, natural disasters, weather conditions, fire, nuclear incident, electro-magnetic pulse, terrorist act, riots, war, arson attacks, insurgency, rebellion, armed hostilities of any kind, labour disputes, lockouts, strikes, shortages, government actions or restraints, pilferage, bankruptcy, machinery breakdown, network or system interruptions or breakdown, internet or communications breakdown, quarantine, epidemic, or pandemic.

12. Indemnification:

• You agree to indemnify and hold harmless Cygnal Travel and Cygnal Visa, its officers, directors, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, costs, and expenses (including attorney's fees) arising out of or in connection with your use of the App, including but not limited to: 

a. breach of or non-compliance with any applicable law or these Terms;
b. access to our Platform;
c. improper and illegal use of any of our Services;
d. booking or use of any products and/or services obtained through our Platform;
e. negligence or wilful misconduct; and
f. infringement or misappropriation of the rights of a third party, including without limitation any intellectual property rights or rights of publicity or privacy, (the “Third-Party Claim(s)”).

13. Governing Law:

• These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

14. Dispute Resolution:

• Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of the Philippines, and shall first undergo dispute resolution processes before resort to court action. 

15. Entire Agreement:

• These Terms constitute the entire agreement between you and Cygnal Travel and Cygnal Visa relating to your use of the App and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

16. Amendments:

• Cygnal Travel and Cygnal Visa reserves the right to amend these Terms at any time.
• Any changes to these Terms will be posted on the App and you are responsible for reviewing the updated Terms.
• Your continued use of the App after any changes to these Terms constitutes your acceptance of the updated Terms.

17. Termination:

• Cygnal Rewards may terminate your access to the App at any time for any reason, without notice, subject to applicable laws. Cygnal Rewards will send an email to the user in connection with this termination.
• You may terminate your account at any time by contacting Cygnal Travel and Cygnal Visa customer support.
• In case of termination of your account, your e-wallet balance shall be transferred to your bank of choice.
• In case of termination of the account, pending bookings which have been paid and confirmed shall remain valid and effective. 
• In case of termination of account, reward points can be used for travel services, if sufficient, or renounced. 
• Termination of the account does not exempt the user from the payment of the availed travel service/s or pending confirmed bookings unless proper cancellation procedures have been conducted and confirmed.
